1. Introduction

Welcome to The Agent Factory Studio. These Terms of Service ("Terms") govern your use of our software products, including PupGatchi, Legal Agent IT, and Gym Coach AI (collectively, the "Services"), provided by Alessio Antonini ("we," "us," or "our"), an individual software author operating under Italian law.

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. Legal Status

The Agent Factory Studio operates as an individual software authorship activity (attività di autore di software) under Italian Copyright Law No. 633/1941 (Legge sul Diritto d'Autore). Our software products are classified as Opere dell'ingegno (Works of the Mind) and are protected by copyright.

3. License Grant

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your personal or internal business purposes.

You may not:

• Copy, modify, or distribute our software without authorization
• Reverse engineer, decompile, or disassemble our software
• Sublicense, rent, or lease access to the Services
• Use the Services for any unlawful purpose
• Attempt to gain unauthorized access to our systems

4. Subscription and Payments

Our Services are offered through a subscription model ("Studio Pass"). Payment processing is handled by Lemon Squeezy, acting as our Merchant of Record. By subscribing, you also agree to Lemon Squeezy's terms of service.

• Subscriptions are billed monthly in advance
• Prices are displayed in EUR and include applicable VAT
• You may cancel your subscription at any time via your account portal
• Access continues until the end of the current billing period

5. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, AI models, designs, and documentation, remain the exclusive property of Alessio Antonini. The Services are protected by Italian and international copyright laws and treaties.

"The Agent Factory," "PupGatchi," "Legal Agent IT," and "Gym Coach AI" are service marks of Alessio Antonini.

6. User Content and Data

You retain ownership of any data you submit to our Services. By using our Services, you grant us a limited license to process your data solely for the purpose of providing the Services to you.

We handle your data in accordance with our Privacy Policy.

7. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not warrant that the Services will be uninterrupted, error-free, or suitable for any particular purpose.

8. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services. Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Italy. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Rieti, Italy.

For consumers residing in the European Union, this does not affect your rights under mandatory consumer protection laws of your country of residence.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Services. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
